Service Terms and Conditions
Wall Street Webcasting's ("WSW") normal service hours are 9AM to 5PM EST and our main number is 201-683-2100.
Audio plus Slides Clients must submit slides 24-hours in advance (in PowerPoint or PDF format) to ensure posting of content. Webcasts include on-demand hosting for up to 1 year. Additional fees may apply for extended archive periods. Fifty percent of the webcast fee will be charged for webcasts that are canceled within 24 hours of the conference start. The webcast service fee is non-refundable after the start of the presentation's scheduled time.
Effective Date and Term of Contract
The effective date of this agreement ("Effective Date") is the execution date of this agreement. Either party may terminate this agreement at any time up to 24 hours of the start of the conference, otherwise fifty percent of the webcast fee will be charged.
Billing Terms Conditions
WSW reserves the right at any time to establish specific billing terms for each client based upon WSW's assessment of a client's credit worthiness in WSW's sole discretion, including without limitation, requiring advance payment for services.
In the event that any of client's service charges remain unpaid for more than 90 days (from the effective invoice date), in addition to any other remedies, WSW reserves the right to (1) discontinue services under this agreement, without notice to client, or (2) alter the initial billing terms under this agreement should client wish to continue receiving services from WSW.
Other Terms and Conditions
WSW shall not be liable under this agreement for any consequential, incidental, or other indirect damages, or for loss of revenue or profits, even if WSW has been apprised of the possibility of such damages. WSW's total liability for any and all causes of action relating to the provision or non-provision of services under this agreement, including without limitation tort, contract, and breach of warranty, shall be limited to the amount paid for service except in the event of WSW’s gross negligence or willful misconduct.
The services are provided "AS IS" without warranty of any kind. In case of any breach hereunder by WSW in the performance or non-performance of any service, client's sole remedy and WSW's exclusive liability shall be for WSW, in its discretion, to either re-perform such service at no additional cost to the client or provide a refund of the amounts paid for such service.
Client agrees to defend, indemnify, and hold harmless WSW and any of its officers, directors, employees, or agents from any third party claim against WSW arising from WSW's use, storage, or provision of client's content except in the event of WSW's gross negligence or willful misconduct. Client agrees that WSW may use client's name and logo to identify it as a client of WSW on WSW's Web site, and as part of a general list of WSW clients for use and reference in WSW marketing literature. This agreement states the entire understanding of the parties and supersedes any prior representations or negotiations, and may be modified only by a signed writing by the parties.
Due to the technical nature of multimedia streaming, there are implicit risks involved in producing a webcast event. While WSW tries to produce events in a fully redundant and fail-safe environment, errors still may occur due to factors beyond the control of WSW. Factors may include venues where optimal connectivity to the live stream cannot be accomplished, dropped connections to the telephone or internet, third-party Audio-Visual mis-cues or failures, acts of God, and other situations that may inhibit the production of a live event.
